AGM – Frequently Asked Questions

  1. When and where is the AGM being held?
    This year, GraceKennedy’s AGM will be held in hybrid format on Wednesday, May 31, 2023 at 2:00 p.m.

    You can attend the meeting either in person at the GraceKennedy Headquarters, 42-56 Harbour Street, Kingston, Jamaica, or virtually via online platform which can be accessed through the GK website at www.gracekennedy.com.

  2. When and where can I register to attend the AGM?
    If you are attending the AGM in person, registration will take place on the day of the meeting at the GraceKennedy Headquarters.

    If you wish to participate in the AGM virtually, we encourage you to register online ahead of the meeting date. Online registration will open on Wednesday, May 24, 2023 and will be done via the GK website here.

  3. Will I need an internet connection to attend the AGM online?
    In you are participating in the AGM virtually, you will need a stable internet connection or a strong mobile data signal (3G or 4G).

    If you are a GraceKennedy shareholder and you do not have internet access, you can assign someone with internet access as your proxy to attend the AGM and vote on your behalf. To do this you must complete a proxy form, which can be collected from 73 Harbour Street, or downloaded here. The completed proxy form must be deposited physically with the Company Secretary at 73 Harbour Street, Kingston, Jamaica, or may be submitted electronically using the proxy submission form on the GK website, no less than 48 hours before the AGM.

  4. What type of device should I use to attend and vote at the AGM online?
    You can attend and vote at the AGM online with any device that has a stable internet connection allowing you to access the Zoom platform. You may download Zoom for your Windows PC here, or on your mobile device via Google Play or the App store.
  5. Who can I contact if I am having issues participating in the AGM online?
    If you are having any issues registering for, participating in, or voting at the AGM online, please call 876-932-3160 or 876-932-3734.
  6. Will I be able to ask questions at the AGM?
    Questions can be submitted before or during the AGM via email to gkinvestor@gkco.com.

    Persons attending the AGM in person will also be given the opportunity to ask questions during the Q&A segment.

    All questions submitted will be answered during the Q&A segment of the AGM, once time permits.

  7. Where can I access the reports for the AGM?
    All documents related to the 2023 GraceKennedy AGM are available on the GK website (gracekennedy.com), and can be accessed by clicking here.
  8. I am a GraceKennedy shareholder; how do I vote at the AGM?
    Only GraceKennedy shareholders or their proxies will be allowed to vote at the AGM. Shareholders or their proxies may vote online using the Zoom platform during the AGM. Shareholders or their proxies attending the AGM in person will vote by raise of hands. I
  9. I am not able to attend the AGM; can someone else represent me?
    You may nominate a proxy to attend the AGM and vote on your behalf, by downloading and completing the proxy form found here. The proxy form must be deposited physically with the Company Secretary at 73 Harbour Street, Kingston, Jamaica, or may be submitted electronically using the proxy submission form on the GK website, no less than 48 hours before the AGM.

    Your proxy may attend the AGM and vote on your behalf, by either attending the meeting in person, or virtually. Proxies must also register to participate in the meeting. In person registration will take place on the day of the meeting at the GraceKennedy Headquarters, and online registration must be done via the GK website here.

  10. If I registered to attend the AGM online, can I share my registration link with others?
    Registration credentials will allow only one device per user to be signed into the Zoom meeting at any given time. Only shareholders or their duly appointed proxies who are logged into the meeting using their unique registration credentials will be allowed to vote at the AGM.
  11. Will I be able to watch the AGM after it has been held?
    A recording of the AGM proceedings will be available for viewing on GraceKennedy’s YouTube channel within 24 hours of the end of the meeting.
  12. Do I have to be a GraceKennedy shareholder to attend the AGM?
    You do not need to be a shareholder to attend the AGM. You may register here as a non-shareholder to participate in the AGM online, or you may attend in person; however, only shareholders will be allowed to vote on resolutions. Non-shareholders can also submit their questions before or during the meeting via email to gkinvestor@gkco.com, or pose them during the Q&A segment if they are attending the AGM in person
  13. Is there a deadline for registration to attend the AGM online?
    You may register at any time once online registration for the AGM has opened. We encourage you to register early and to log in ahead of the meeting’s start time.
  14. What information will I need to provide to register to attend the AGM?
    If you are attending the AGM in person, you will need to present a valid ID at the registration desk.

    If you are participating online, you will need to provide your name, your email address, and if you are a shareholder your JCSD, TTCD or GK share account number.

  15. Where can I find my share account number?
    Your share account number can be found on your share certificate, JCSD or TTCD statements, or a recent dividend confirmation/tax voucher.  Click here for more details about where to find your share account number.
