These terms of reference shall apply to the Directors of GraceKennedy Limited and it is recommended that terms of reference in similar form be adopted by subsidiary companies of GraceKennedy Limited. The provisions relating to Directors Duties and Responsibilities and other provisions reflect the position of Jamaican law. Where applicable the provisions of law in the local territory will supersede the provisions of these Terms of Reference. It is the duty of the Board of a company in a territory other than Jamaica to determine the applicability of these terms of reference in relation to the territory of incorporation of the company and to make the relevant adjustments before adoption.
